The domain name www.Threadwel.com and the brand “Threadwel” are owned by Thread Tech, a company registered in Bangladesh.


By accessing and using this Website (as defined below) or any portion thereof, You accept and agree to be bound by these Terms. You should review these Terms carefully; if You do not accept these Terms, You must not access or use the Website. The Site reserves the right to change, modify, add, or remove portions of these Terms at any time. Changes will be effective when posted on the Site with no other notice provided. Please check these Terms and Conditions of Use regularly for updates. Your continued use of the Site following the posting of changes to these Terms and Conditions of Use constitutes your acceptance of those changes.


Our Privacy Policy and all other notices, communications, and terms specific to certain Services (‘Additional Information’), We provide through the Website will form part of these Terms. To the extent of any inconsistency or conflict between the Privacy Policy, the Additional Information, and these Terms, the Privacy Policy will prevail followed by these Terms and then the Additional Information.

The User hereby consents, expresses, and agrees that they have read and fully understand the Privacy Policy of www.Threadwel.com The user further consents that the terms and contents of such Privacy Policy are acceptable to them.

Pricing

The prices of our modules or subscriptions on www.Threadwel.com are determined solely by Us and are subject to change from time to time. We regularly run promotions and sales for our subscriptions and certain plans are only available at discounted prices for a set period of time. The price applicable to a particular plan will be the price at the time you complete your purchase of the plan. Any price offered for a particular plan may also be different when you are logged into your account from the price available to users who aren’t registered or logged in because some of our promotions are available to new users only.

Payments

You agree to pay the fees for paid plans that you purchase. Threadwel works with third-party payment processing partners to offer you the most convenient payment methods and to keep your payment information secure.


When you make a purchase, you agree not to use an invalid or unauthorized payment method. If your payment method fails and you still get access to our platform, you agree to pay us the corresponding fees within thirty (30) days of notification from us. We reserve the right to disable access to any plan for which we have not received adequate payments.

Transactions

  • All Transactions with respect to the payment of Fees will be conducted via a third party's secure website. These Transactions are covered by these Terms and any additional third-party terms or conditions. Please ensure that You have read the terms and conditions of the third party responsible for conducting the Transaction.
  • By completing a Transaction, You agree to pay all amounts related to the Transaction including all taxes. We may suspend or terminate Your Account and/or access to the Website if Your offered payment method (e.g., credit card) cannot be processed. By providing a payment method, You expressly authorize Us and/or Our third-party payment processor to charge the applicable Fees to said payment method at regular intervals if required by Your particular Paid Membership and utilized Services. You are liable for paying any and all applicable sales and use taxes.
  • You acknowledge and accept that Transactions occurring through the Internet have inherent risks and We are not responsible for any unauthorized:
    • interception, modification, or diversion of a Transaction request or delivery of a Tool;
    • access or copying of details relating to a Transaction (including personal or financial information); or
    • failure to deliver a Tool, where that failure is not directly caused by Our deliberate actions.
  • We reserve the right to modify, suspend, reject, or cancel any Transaction for any reason.

Unauthorized Charges on your card

If you see charges on your credit/debit card for purchases made on Threadwel.com, but you never created an account or signed up, please check with your family members or business colleagues authorized to make purchases on your behalf, to confirm that they haven't placed the order. If you're still unable to recognize the charge, please report the unauthorized purchase within 30 days of the transaction to enable Threadwel to begin an investigation.

Promo Code Conditions

ThreaX Promo code is a code that has a unique discount value. It generally counts discount on the total order amount of a single order. Some conditions while applying a Promo Code:

  • The Promo Code must be a valid one.
  • Most Promo Codes will have a validity period beyond which they will not be enforceable.
  • In case multiple Promo Codes are made available to you, only one of them may be applicable.

User Conduct and Rules

You must not:

  • use the Website in breach of any applicable laws or regulations; Your use of the Services and behavior on our platform must comply with applicable local or national laws or regulations of your country. You are solely responsible for the knowledge of and compliance with such laws and regulations that are applicable to you.

You acknowledge and agree that you shall not use, reproduce, or distribute any content from the Website belonging to Threadwel without obtaining authorization from Threadwel

  • copy, modify, create derivative works of, reverse engineer, reverse assemble, or otherwise attempt to discover any source code of or content on the Threadwel platform or Services.
  • access or search or attempt to access or search our platform by any means (automated or otherwise) other than through our currently available search functionalities that are provided via our website, mobile apps, or API (and only pursuant to those API terms and conditions). You may not scrape, spider, use a robot, or use other automated means of any kind to access the Services.
  • in any way use the Services to send altered, deceptive, or false source-identifying information (such as sending email communications falsely appearing as Threadwel); or interfere with, or disrupt, (or attempt to do so), the access of any user, host, or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing the platforms or services, or in any other manner interfering with or creating an undue burden on the Services.

  • We derive Content from sources that We believe are accurate and up to date as of the time of publication and use reasonable commercial endeavors to update such Content, however, We do not make any representation or warranty as to the currency, reliability, accuracy or completeness of any Content provided via the Website.

Back-Up; Data Deletion

  • We may make a reasonable effort to protect and backup data for Registered Members on a regular basis, however, We do not guarantee the existence, accuracy, or regularity of Our backup services and, therefore, Members are solely responsible for independent backup of data stored on the Website in relation to that Member's Account.
  • If You choose to delete Your Materials, testing data, or the data of Your Related Users, You are solely responsible for ensuring that such data is properly backed up prior to deletion. We are not responsible for any Materials or data that are lost as a result of Your voluntary deletion.

Fraud Protection Policy

Threadwel realizes the importance of a strong fraud detection and resolution capability. We and our online payments partners monitor transactions continuously for suspicious activity and flag potentially fraudulent transactions for manual verification by our team. In the rarest of rare cases, when our team is unable to rule out the possibility of fraud categorically, the transaction is kept on hold, and the customer is requested to provide identity documents. The ID documents help us ensure that the purchases were indeed made by a genuine cardholder. We apologize for any inconvenience that may be caused to customers and request them to bear with us in the larger interest of ensuring a safe and secure environment for online transactions.

Suspension and Termination

  • We reserve the right, without notice to You and at Our complete discretion, to suspend, terminate, or refuse to register Your Account, if We believe You:
    • have breached any part of these Terms;
    • are likely to breach any part of these Terms;
    • fail to pay a Fee;
    • have acted against Our business interests or reputation; or
    • are using the Website in such a way as to cause issues for other users of the Website.
  • You will not be entitled to recover any Fees if Your Account is closed in accordance with the clause above.
  • These Terms will survive indefinitely unless and until Threadwel chooses to terminate them.
  • If you or Threadwel terminates your use of the Website or any Service, Threadwel may delete any content or other materials relating to your use of the Service and Threadwel will have no liability to you or any third party for doing so.
  • You shall be liable to pay for any Service or product that you have already ordered till the time of Termination by either party whatsoever.

Binding Agreement

You agree that by registering, accessing, or using our Services, you are agreeing to enter into a legally binding contract with Threadwel. If you do not agree to these Terms, do not register, access, or otherwise use any of our Services.


These Terms (including any agreements and policies linked to these Terms) constitute the entire agreement between you and us.


If any part of these Terms is found to be invalid or unenforceable by applicable law, then that provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of these Terms will continue in effect.


Even if we are delayed in exercising our rights or fail to exercise a right in one case, it doesn’t mean we waive our rights under these Terms, and we may decide to enforce them in the future. If we decide to waive any of our rights in a particular instance, it doesn’t mean we waive our rights generally or in the future.

Indemnifications

You agree to indemnify, defend, and hold harmless Threadwel from and against any and all losses, liabilities, claims, damages, costs and expenses (including legal fees and disbursements in connection therewith and interest chargeable thereon) asserted against or incurred by Threadwel that arise out of, result from, or may be payable by virtue of, any breach or non-performance of any representation, warranty, covenant or agreement made or obligation to be performed by you pursuant to these Terms.

Disclaimer of Warranties/Limitation of Liability

Threadwel has endeavored to ensure that all the information on the Website is correct, but Threadwel neither warrants nor makes any representations regarding the quality, accuracy or completeness of any data, information, product, or Service. In no event shall Threadwel be liable for any direct, indirect, punitive, incidental, special, consequential damages or any other damages resulting from (a) the use or the inability to use the Services or Products; (b) unauthorized access to or alteration of the user's transmissions or data; (c) any other matter relating to the services; including, without limitation, damages for loss of use, data or profits, arising out of or in any way connected with the use or performance of the Website or Service. Neither shall Threadwel be responsible for the delay or inability to use the Website or related services, the provision of or failure to provide Services, or for any information, software, products, services, and related graphics obtained through the Website, or otherwise arising out of the use of the website, whether based on contract, tort, negligence, strict liability or otherwise. We are not responsible for delay or failure of our performance of any of the Services caused by events beyond our reasonable control, like an act of war, hostility, or sabotage; natural disaster; electrical, internet, or telecommunication outage; or government restrictions.

Governing Law

These terms shall be governed by and constructed in accordance with the laws of Bangladesh without reference to conflict of laws principles and disputes arising in relation hereto shall be subject to the exclusive jurisdiction of the courts at Dhaka.

Legal Disputes

If a dispute arises between you and Threadwel, our goal is to provide you with a neutral and cost-effective means of resolving the dispute quickly. Accordingly, you and Threadwel agree that we will resolve any claim or controversy at law or equity that arises out of this Agreement or our services in accordance with one of the subsections below or as we and you otherwise agree in writing. Before resorting to these alternatives, we strongly encourage you to first contact us directly to seek a resolution. We will consider reasonable requests to resolve the dispute through alternative dispute resolution procedures, such as arbitration, as alternatives to litigation.

  • APPLICABLE LAW AND JURISDICTION: These Terms and Conditions shall be interpreted and governed by the laws in force in Bangladesh. Subject to the Arbitration section below, each party hereby agrees to submit to the jurisdiction of the courts of Dhaka.
  • ARBITRATION: Any controversy, claim, or dispute arising out of or relating to these Terms and Conditions will be referred to and finally settled by private and confidential binding arbitration before a single arbitrator held in Dhaka, Bangladesh. The arbitrator shall be a person who is legally trained and who has experience in the information technology field in Dhaka and who is independent of either party. Notwithstanding the foregoing, the Site reserves the right to pursue the protection of intellectual property rights and confidential information through injunctive or other equitable relief through the courts.
